TERMS & CONDITIONS

For Customers of "Tiny Parrot" A Service by Infynu Engineering Group UG (haftungsbeschränkt), Hellseifen 12, 57518 Betzdorf, Germany

1. Scope of Application

These Terms and Conditions ("Terms") govern the business relationship between Infynu Engineering Group UG (haftungsbeschränkt), operating under the brand name "Tiny Parrot" ("Tiny Parrot"), and its business customers ("Customer") in the version valid at the time of the engagement.

Conflicting terms and conditions from the Customer shall not apply, even if Tiny Parrot does not explicitly object to them in individual cases.

The contractual relationship between Tiny Parrot and the Customer is based on these Terms and any agreements made via an offer acceptance, the signing of a contract, or the booking of services via Tiny Parrot's online checkout process. In case of any deviations, individual contract terms take precedence over these Terms.

2. Subject of the Agreement

The Customer engages Tiny Parrot to provide services in the area of customer communication and appointment management.

Tiny Parrot's activities include the integration and management of customer inquiries across multiple communication channels (such as WhatsApp, Instagram, Facebook Messenger, and email), generating payment links, synchronizing appointments, and automatically booking appointments upon receipt of payment.

Tiny Parrot follows the Customer's instructions and implements them as part of its service offering. Unless explicitly agreed otherwise, Tiny Parrot is not obligated to achieve a particular result but must deliver its services with the care of a prudent merchant.

Tiny Parrot shall act in the Customer's best interest. The Customer shall provide all necessary information, documents, and data required to perform the agreed services.

Tiny Parrot may delegate tasks or parts thereof to subcontractors or support the service delivery with the help of artificial intelligence.

3. Services Provided by Tiny Parrot

Tiny Parrot's services may include, but are not limited to:

a. Centralized management of direct messages via WhatsApp, Instagram, Facebook Messenger, and email b. Creation and maintenance of chat summaries and status dashboards c. Integration of payment providers such as PayPal and Stripe for generating payment links d. Appointment synchronization and automatic booking upon payment confirmation e. Sending appointment reminders 24 hours prior to the scheduled appointment

The Customer commissions Tiny Parrot by submitting a briefing via Tiny Parrot's communication channels, including Typeform or email.

4. Customer Responsibilities

The Customer agrees to provide all necessary documents, data, information, and templates required for the service performance promptly and, where applicable, within 48 hours of Tiny Parrot's request. The Customer affirms they are authorized to provide these materials.

The Customer is solely responsible for the legal compliance of any logos, trademarks, designs, business identifiers, or other rights ("IP") shared with Tiny Parrot. In case of legal claims against Tiny Parrot due to violations, the Customer agrees to indemnify Tiny Parrot and cover the costs of appropriate legal defense.

5. Fees and Payment

Tiny Parrot charges a fee based on the pricing model in effect at the time of service.

All payments are due immediately upon invoicing without any deductions.

Tiny Parrot reserves the right to use payment service providers to process payments.

Any additional compensation for services outside the agreed scope must be arranged in writing.

6. Usage Rights

Tiny Parrot grants the Customer a non-exclusive, non-transferable, and time- limited right to use the services for the duration of the contract, unrestricted by location.

Editing, redistribution, or sublicensing of these rights requires prior written approval from Tiny Parrot.

7. Liability

Tiny Parrot undertakes to perform the agreed services with professional and commercial diligence.

For damages resulting from willful misconduct or gross negligence, Tiny Parrot assumes unlimited liability. For damages caused by ordinary negligence, liability is limited to breaches of essential contractual obligations.

8. Data Protection

Tiny Parrot processes personal data ("PD") of the Customer and their staff as necessary for service delivery.

This data includes, in particular, names, addresses, email addresses, phone numbers, and professional information related to the Customer's point of contact.

9. Term & Termination

The contract duration is based on the terms set forth in the respective offer or agreement.

The contract may be terminated at any time without notice. The termination becomes effective at the end of the current contractual period.

10. Integrated Services

Tiny Parrot may use third-party services, including:

a. AI-powered chatbot features (e.g., ChatGPT, OpenAI)

In this context, the following applies:

a. No guarantee is provided for the accuracy or usability of outputs from these third-party services b. Availability of such services is not guaranteed c. Content generated may be subject to copyright d. The Customer is responsible for the data and information they share

Tiny Parrot assumes no liability for outcomes generated by integrated third- party services.

11. No Tolerance for Abusive or Objectionable Content

Customers and their users are strictly prohibited from using Tiny Parrot to create, share, or promote content that is unlawful, offensive, discriminatory, harassing, threatening, or otherwise inappropriate. Tiny Parrot has a zero-tolerance policy for abusive behavior and reserves the right to delete such content without notice and suspend or permanently terminate access to the platform for users involved in such behavior. Tiny Parrot also reserves the right to report severe violations to the relevant authorities and take legal action if necessary.

12. Miscellaneous

German law exclusively applies to the entire business relationship. The UN Convention on Contracts for the International Sale of Goods is explicitly excluded.

If legally permissible, the place of jurisdiction is Betzdorf, Germany, or at Tiny Parrot's discretion, the Customer's location.

If any provision of these Terms is found to be invalid, the remainder of the Terms shall remain unaffected.
